Please note that, by accessing or using Govee products and the built-in software (hereinafter referred to as "Software") in any way, including but not limited to accessing or browsing Govee Lite, downloading the app, authorizing to log into an account, or distributing content or other materials on or through the app or by tapping on "Accept," you represent and warrant that you have read and expressly understand this User Agreement and agree to be bound by it. Before accepting these Terms, you should carefully read these Terms. If you do not agree to these Terms, you should immediately cease access to or use of the Products.

By accessing or using the Products either on behalf of yourself or an entity associated with the access, you accept and agree to the content of these Terms.

You represent and warrant that you have the right, authority, and ability to accept and agree to these Terms on behalf of yourself or an entity.

You represent and warrant that you are of sufficient legal age to use or access the Products and sign these terms in your jurisdiction or residence.

If you do not agree to any terms of this Agreement, you should immediately cease access to or use of the Software.

As described in these Terms, you may connect your Product to Govee Lite, and connect it to the Internet or a mobile device through Wi-Fi or Bluetooth. By connecting your Product to Govee Lite and to the Internet or a mobile device, you will receive automatic or manual updates of the Software. If you do not agree to the update, you should not connect your Product to Govee Lite and the Internet.

According to changes in national laws and regulations and based on operation needs of Govee Lite, we reserve the right to modify these Terms (including Privacy and Cookie Policy) from time to time in our sole discretion. The modified Terms will become effective after being published on Govee Lite in any form. The former Terms will be superseded. You should pay attention to changes in announcements, prompts, agreements, rules, and other relevant content on Govee Lite. You understand and acknowledge that if you do not agree to the updated content, you should immediately cease the use of Govee Lite. Your continued use of Govee Lite shall constitute your acknowledgment and acceptance of the updated content.

2.1 Commitments and License

By accessing and using Govee Lite, you acknowledge that you have agreed to our processing of your personal information and data and that all information and data you provide are true and accurate. You represent and warrant that you are of sufficient legal age to use or access the Products and sign these terms in your jurisdiction or residence or are accessing or using Govee Lite under the supervision of a parent or guardian.

Subject to these Terms, we hereby grant you a limited, revocable, non-transferable, non-exclusive license, without the right to sublicense, in executable object code format only, solely in conjunction with the Product you own or control, for personal non-commercial purposes.

2.2 Use Restrictions

Except as explicitly specified herein or explicitly permitted by the Company in advance, you agree that you will not and will not permit any third party to:

(a) license, sell, rent, lease, transfer, distribute, transmit, host, outsource, disclose, create a mirror site on or otherwise use or make available to third parties, the Software;

(b) reproduce or use the Software for any purposes other than those permitted herein;

(c) use any portion of the Software on any device or computer other than the Product you own or control;

(d) delete or modify any trademark, logo, copyright or other ownership statement, legend, symbol, or label on the Software;

(e) modify, create derivative works from, disassemble, decompile or reverse engineer any portion of the Software (if such restrictions are explicitly prohibited by applicable law, you agree to first contact us and provide us with an opportunity to make changes required for creating the interoperability);

(f) log into, access or use Govee Lite through any third party software, plug-in, script or system not developed or authorized by us or produce, publish or disseminate the aforesaid tool; or

(g) use any information, Product or Service provided on Govee Lite for any commercial purposes.

You shall not upload, distribute, or publish any content, information or other materials through the Govee Lite that:

(a) infringes on the copyrights, patents, trademarks, service marks, trade secrets or other exclusive rights of any third party;

(b) is libelous, threatening, obscene, indecent, pornographic or could give rise to any civil or criminal liability under local or international law; or

(c) includes Trojan horses, computer viruses, crawlers or other malicious codes.

Additionally, you agree not to:

(a) use Govee Lite for any unlawful purposes or in any way that may violate any applicable federal, state, local or international law or regulations;

(b) engage in any conduct that restricts or prohibits anyone's use or enjoyment of Govee Lite, or that we believe may harm us or any users of the Services or expose us or them to liability;

(c) use any robot, crawler or other manual or automated device, process, software, or means to index or access Govee Lite;

(d) use Govee Lite to distribute unsolicited promotional or commercial content or solicit other persons using Govee Lite for commercial purposes;

Please note that we reserve the right to unilaterally refuse Services, terminate accounts and/or cancel orders at our sole discretion if we believe that your conduct violates applicable laws or these Terms or damages our interests.

2.3 Account Login and Authentication

For purpose of using Govee Lite to service and manage your smart devices, you will need to register for a Govee Home account to log into the platform. That is, Govee Lite currently does not provide you with services related to the creation and termination of your account, and you will need to create and/or terminate your account through Govee Home. Please carefully read Govee Home's Privacy Policy and User Agreement before registering for a Govee Home account.

If you already have a Govee Home account, with your authorization, we may display your personal information described above on your Govee Home or/and Govee Lite account on the Govee Lite services, as well as your actions performed on or in connection with your Govee Home or/and Govee Lite account or its associated products and services, including the centralized and synchronized display of your personal information, device information, and other information on Govee Home through Govee Lite.

You may not use another person's account. Each time you log in with a password or identification authorization, you will be deemed to be authorized to access and use the Software in a manner consistent with the terms of this Agreement, and we are under no obligation to investigate the authorization or source of such account use.

You will be solely responsible for the access and use of Govee Lite by anyone using your password and identification, whether or not you have actually authorized their access and use of Govee Lite, including but not limited to all communications and transmissions, and all obligations (including but not limited to financial obligations) arising out of such access or use. You are solely responsible for protecting the security and confidentiality of the passwords and identification assigned to you. Under no circumstances will we be liable for any loss, theft or fraudulent use of your account. You shall immediately notify us of any unauthorized use of your password or identification or any other breach or threat to the security of the application.

From time to time, we may restrict your access to some or all of the features of Govee Lite, including but not limited to the ability to upload documents.

You may terminate your account for any reason at any time by accessing Govee Home App. It is recommended that you contact us before terminating your account. Otherwise, you may lose assets in your account.

When you access or use the Services and Products provided by Govee Lite, you agree to provide us with your email address, postal address and/or other contact details truthfully and exactly. You also agree that we may use this information to contact you in the context of your order if necessary.

You are responsible for all submissions shared and must ensure these are in line with public morals and religious beliefs, are not in violation of any applicable laws and will not cause us to violate any applicable laws or regulatory guidelines by displaying such submissions on the Internet. Meanwhile, you shall ensure that your submissions on Govee Lite are clear and free of any infringement of portrait, privacy, intellectual property rights or other legitimate rights and interests of any third party, and that our use of your comments and reviews will not infringe or violate any third party rights. You undertake to defense for and indemnify the Company against any losses caused due to the use of your submissions for any purposes.

(1) Sexually explicit or pornographic content;

(2) Derogatory, discriminatory or hateful comments or incitements against specific individuals or groups based on their race or ethnic origin, religion, gender, disability, age, nationality, etc.;

(3) Incitements to violence or other dangerous activities;

(4) Terrorism or other criminal activities;

(5) Insensitive or offensive comments related to natural disasters, atrocities, health crisis, deaths, conflicts or other tragic events;

(6) Harassment, bullying or threats;

(7) Dangerous products, illicit drugs or inappropriate use or sale of tobacco and/or alcohol;

(8) Transactions in cryptocurrencies;

(9) False medical-related claims or contents;

(10) Content that infringes intellectual property rights;

(11) Content that you are not authorized to or do not have a legal right to share, post, or otherwise display; or

(12) Any other content that could be considered illegal, offensive or restricted under applicable laws or regulations.

7.1 Software

The Software and all worldwide copyrights, trade secrets and other intellectual property rights therein are the exclusive property of us and our licensor. We and our licensor reserve all rights in and to the Software not expressly granted to you in these Terms. The Software (and all copies) is granted, but not sold, to you under these Terms. These Terms do not contain any implied license. All suggestions or feedback you provide to us regarding the Software is our property. We may use, reproduce, modify, publish or redistribute your submissions in any way for any purposes, without giving any compensation to you.

7.2 Information and Content

The information and content we provide on Govee Lite, such as text, software, scripts, graphics, photos, sounds, music, videos and interactive features (hereinafter referred to collectively as "Content") provided as part of the Govee Lite services belong at all times to the Company or to those who grant us the respective license of use and is protected by the copyright law of your country/region and the international copyright law. You may use the Content only with our or the licensor's express authorization. Content on Govee Lite is provided to you for your information only and may not be downloaded, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed or otherwise exploited for any other purposes whatsoever without our prior written consent. We reserve all rights not expressly granted in and to the Content.

7.3 Open Source

8.1 Force Majeure

1) Strike, lockout or other forms of protest.

2) Civil unrest, revolt, invasion, terrorist attack or terrorist threat, war (declared or not) or threat or preparation for war.

3) Fire, explosion, storm, flood, earthquake, collapse, epidemic or any other natural disasters.

4) Inability to use trains, ships, aircraft, motorized transports or other means of transport, public or private.

5) Inability to use public or private telecommunication systems.

6) Acts, decrees, legislation, regulations or restrictions of any government or public authority.

7) Strike, failure or accident in maritime or river transport, postal transport or any other type of transport.

8) Border closure, government shutdown, trade blockade, embargo, global trade interruption and port congestion.

It shall be understood that our obligations deriving from these Terms or other contracts will be suspended during the period in which Force Majeure remains in effect and we will be given an extension of the period to fulfill these obligations by an amount of time equal to the time that the situation of Force Majeure lasts. We will provide all reasonable resources to end the situation of Force Majeure or to find a solution that enables us to fulfil our obligations under this Agreement despite the situation of Force Majeure.

8.2 Disclaimer

Govee Lite provides you with information about your home Products (hereinafter referred to as "Product Information"). All Product Information is provided on an "as is" and "as available" basis. We cannot guarantee that it is correct or up to date.

We do not make the following undertakings: The Software or any content, service, or feature of the Software will be error-free or uninterrupted or that any defects will be corrected or that your use of the Software will provide specific results. We provide the Software on an "as-is" basis. We cannot guarantee that any files or other data you download from the Software will be free of viruses or contamination or destructive features. We disclaim all warranties, expressed or implied, including any warranties of security, accuracy, validity, and fitness for a particular purpose. We disclaim any and all liabilities for the acts of any third parties in connection with or related to your use of the Software or any our Services. You assume any losses, responsibility, or damage arising from your use of Product Information, the Software or the Product, including the damage to your mobile smartphone, home appliance, Product, other peripherals connected to the Product, computer, mobile device and all other items and household pets. Your sole remedy against us for dissatisfaction with the Software or any content contained therein is to stop using the Software or any such Content.

The above disclaimer applies to any damage, liability or injuries caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operations or transmission, computer virus, communication line failure, theft or destruction or unauthorized access, alteration or use, whether or not based on breach of contract, tort, negligence or any other cause of action.

We reserve the right to do any of the following, at any time, without notice: (1) to modify, suspend or terminate operations of or access to the Software or any portion of the Software, for any reason; (2) to modify or change the Software, or any portion of the Software and any applicable policies or terms; and (3) to interrupt the operations of the Software or any portion of the Software, as necessary to perform routine or non-routine maintenance, error correction or other changes.

Some jurisdictions do not allow exclusions or limitations of liability or certain types of damages. If these jurisdictions apply to you, some or all of the following exclusions or limitations may not apply to you and you may have other rights. Nothing in these Terms, especially in this "Disclaimer" clause, shall attempt to exclude liability that is not permissible under the applicable law.

Apart from the above disclaimer, to the maximum extent permitted by the applicable law, in no event shall we and our affiliates, successors, assigns, licensors, and suppliers and their respective directors, employees, and agents (hereinafter referred to collectively as "Govee PARTIES") be liable for any loss of data or profit arising out of or in connection with the Products or the Software.

These Terms and all licenses granted hereunder shall come into effect from the date on which you access or use Govee Lite Services or Products for the first time and this Agreement shall remain valid during your continued access to or use of Govee Lite, unless we explicitly terminate your access or use permissions.

10.1 Governing Laws

This Agreement and any disputes or claims (including non-contractual disputes or claims) arising out of or in connection with this Agreement or the subject matter or establishment hereof or the use of Services shall be governed by and construed in accordance with Hong Kong laws, without regard to its conflict of the provisions of the laws.

Nothing in these Terms will affect your legal rights as a consumer, as recognized by any applicable law in this area.

Please read the following clause carefully - it may seriously affect your legal rights, including your right to bring a suit in court.

1) Initial dispute resolution. You can email us at support@govee.com to address any concerns you may have about using the Services. Most problems can be solved quickly this way. Both parties agree to use their best efforts to resolve any disputes, claims, issues or difference directly through negotiation and in good faith, which is a pre-requisite for either party to initiate litigation or arbitration.

2) Waiver of class action or consolidated claims. All claims and disputes within the scope of this Agreement must be arbitrated or litigated on an individual basis and not on a class basis. Claims of more than one customer or user cannot be arbitrated or litigated jointly or consolidated with those of any other customer or user.

10.2 Severability

If any provisions of these Terms becomes unenforceable, such provision will be amended and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will remain in full force and effect.

10.3 Waiver

All waivers by us are valid only when made in writing. Our waiver or failure to enforce any provision of these Terms will not be construed as a waiver of any other provisions of these Terms, nor shall it operate as a waiver of such provisions under any other circumstances.

10.4 Irrevocability

By accessing or use the Services or Products provided by Govee Lite, you acknowledge that the Services or Products provided by Govee Lite are irrevocably accepted. We are not obligated to provide the maintenance or support service for Govee Lite related software products. You acknowledge that the Software contains our precious trade secrets and proprietary information. Any actual or threatened breach of these Terms will cause direct and irreparable harm to us and the monetary damage for such harm are a necessary remedy.

10.5 Headings

Headings used in sections of these Terms are for convenience only and shall not be used to interpret these Terms. Unless otherwise specified in this section, any modifications to these Terms are invalid, unless signed in writing by the parties.
